Agreement to Terms

These Terms of Use constitute a legally binding agreement between you and ALYAI ("Company," "we," "us," or "our") concerning your access to and use of the ALYAI mobile application and related services (collectively, the "Services"). By downloading, installing, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the app or via email. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

Important Medical Disclaimer

ALYAI IS NOT A MEDICAL DEVICE OR HEALTHCARE PROVIDER. Our Services are designed to provide mental wellness support and are not intended to diagnose, treat, cure, or prevent any medical condition or disease. The Services do not replace professional medical advice, diagnosis, or treatment.

If you are experiencing a mental health crisis or emergency, immediately contact emergency services (911 in the US), the National Suicide Prevention Lifeline (988), or go to your nearest emergency room. Do not rely on ALYAI for emergency assistance.

Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read or experienced through our Services.

Eligibility

You must be at least 13 years of age to use our Services. If you are between 13 and 18 years old (or the age of legal majority in your jurisdiction), you may only use the Services with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the Services, you represent and warrant that you meet these eligibility requirements.

Account Registration and Security

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with these security obligations. You may not transfer your account to another person or use another person's account without permission.

License Grant and Restrictions

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the ALYAI mobile application on a device you own or control for your personal, non-commercial use.

You agree NOT to:

  • Copy, modify, distribute, sell, or lease any part of our Services
  • Reverse engineer, decompile, or attempt to extract the source code of the application
  • Remove, alter, or obscure any proprietary notices from the Services
  • Use the Services for any illegal or unauthorized purpose
  • Interfere with or disrupt the Services or servers or networks connected to the Services
  • Attempt to gain unauthorized access to any portion of the Services or any other systems or networks
  • Use any automated system, including robots, spiders, or scrapers, to access the Services
  • Transmit any viruses, malware, or other malicious code
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
  • Use the Services to harass, abuse, or harm another person

Subscriptions and Payments

Subscription Plans

ALYAI offers various subscription plans that provide access to premium features. Subscription fees are charged in advance on a recurring basis (monthly or annually, depending on your selected plan). You authorize us to charge your chosen payment method for the subscription fees.

Free Trial

We may offer a free trial period for new subscribers. You must provide payment information to start a free trial. If you do not cancel before the end of the free trial period, you will automatically be charged the subscription fee for your selected plan.

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings or the app store through which you subscribed.

Refund Policy

All subscription fees are non-refundable except as required by law. If you cancel your subscription, you will continue to have access to premium features until the end of your current billing period. No partial refunds will be provided for unused portions of a subscription period.

Price Changes

We reserve the right to modify subscription prices at any time. We will provide you with reasonable advance notice of any price changes. If you do not agree to the price change, you may cancel your subscription before the new price takes effect.

User Content and Data

You retain ownership of any content you submit, post, or display through the Services, including mood check-ins, journal entries, and other personal data ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and analyze your User Content solely to provide, maintain, and improve the Services.

You represent and warrant that you own or have the necessary rights to all User Content you submit and that your User Content does not violate any third-party rights or applicable laws. We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable.

Intellectual Property Rights

The Services, including all content, features, functionality, software, text, graphics, logos, icons, images, audio clips, video clips, and data compilations, are owned by ALYAI or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

AI Technology and Limitations

ALYAI uses artificial intelligence and machine learning technologies to provide personalized mental health support. While we strive for accuracy and helpfulness, AI technology has inherent limitations. The AI companion may occasionally provide inaccurate, incomplete, or inappropriate responses.

You acknowledge and agree that AI-generated content should not be solely relied upon for making important decisions about your mental health. We continuously work to improve our AI models, but we cannot guarantee that the AI will always provide accurate or appropriate responses. You use the AI features at your own risk.

Disclaimers and Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICES.

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR LOSS OF DATA.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ALYAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless ALYAI, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of another person or entity.

Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may do so by contacting us or using the account deletion feature in the app.

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Dispute Resolution and Arbitration

Informal Resolution: Before filing a claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email.

Binding Arbitration: If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in San Francisco, California, or another mutually agreed location.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and us individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, no dispute shall be arbitrated on a class-action basis, and you waive any right to participate in a class-action lawsuit or class-wide arbitration.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable while preserving its intent.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and ALYAI concerning the Services and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.

BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF USE AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.
